Terms of Service

Welcome to FlowDevs. These Terms of Service (“Terms”) govern your use of the FlowDevs website, services, software, subscriptions, and one-time purchases. By accessing or using our services, you agree to these Terms.

1. Acceptance of Terms

By using our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Services and Subscriptions

2.1 IT Consulting and Professional Services

FlowDevs provides design, development, automation, software, and IT consulting services through retainers, subscriptions, projects, and other service arrangements.

• Subscription and retainer payments are billed according to the selected plan or agreement.
• Work included within a plan is subject to the applicable scope, timeline, and service agreement.
• Work outside an existing subscription or retainer will be quoted separately.
• Larger projects may require an initial deposit and milestone-based payments, as described in the applicable proposal, statement of work, or agreement.

2.2 Software Downloads and Services

FlowDevs may provide software, hosted services, downloads, features, updates, and related support through subscription-based or usage-based plans.

• Plans may vary based on functionality, user count, endpoint count, usage, or other stated criteria.
• An active subscription may be required for continued access to certain software or services.
• Users must comply with all applicable license terms, acceptable-use requirements, and plan restrictions.

3. Payments and Billing

3.1 Payment Processing

Payments may be processed through Stripe or another approved payment processor.

By providing payment information, you authorize FlowDevs and its payment processor to charge the payment method provided for amounts due under the applicable order, subscription, invoice, proposal, or agreement.

3.2 Subscription Renewals and Cancellations

Subscriptions automatically renew for the next billing cycle unless canceled before the renewal date.

Cancellation requests must be submitted through the applicable account dashboard or by contacting FlowDevs at least 14 business days before renewal, unless a different cancellation period is stated in the applicable agreement.

No refunds are provided for partial billing periods or unused services unless required by law or expressly stated in a written agreement.

3.3 Payment Terms and Authorized Charges

Invoice due dates are governed by the payment terms stated in the applicable agreement or invoice, such as Net 0 or Net 15.

If payment is not received by the due date, FlowDevs may charge an authorized payment method on file for the outstanding balance, where permitted by the applicable agreement and law.

Payment-card transactions are processed through approved payment providers. FlowDevs does not intentionally store complete payment-card details on its own systems.

3.4 Late Payments

Invoices that remain unpaid for more than 14 days may result in suspension or limitation of services until payment is received.

FlowDevs may apply a late fee when permitted by the applicable agreement and law.

3.5 Price Changes

FlowDevs may change pricing for services and subscription plans. Existing subscribers will receive at least 14 days’ notice of a pricing change by email, account notification, or another reasonable method, unless a different notice period is stated in the applicable agreement.

Updated pricing will take effect at the beginning of the next applicable billing cycle after the notice period.

If you do not agree to the updated pricing, you may cancel before the new pricing takes effect. Continued use after the effective date constitutes acceptance of the updated pricing.

4. Intellectual Property

Unless a written agreement states otherwise, all design, code, documentation, configurations, and other deliverables created by FlowDevs remain the property of FlowDevs until all related amounts are paid in full.

After full payment, the client receives the ownership rights or license rights described in the applicable proposal, statement of work, license, or other written agreement.

Third-party materials remain subject to their respective license terms.

5. Refunds and Termination

Because FlowDevs provides professional services, software access, and custom work, completed work and consumed services are generally nonrefundable unless otherwise stated in writing or required by law.

FlowDevs may suspend or terminate services for nonpayment, misuse, violation of these Terms, violation of an applicable agreement, security risk, unlawful activity, or conduct that could harm FlowDevs, its systems, its clients, or third parties.

6. Limitation of Liability

To the maximum extent permitted by law, FlowDevs is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of its services.

To the maximum extent permitted by law, FlowDevs’ total liability for claims related to the services will not exceed the amount paid by the client for the affected services during the three months immediately preceding the event giving rise to the claim.

7. Changes to These Terms

FlowDevs may update these Terms from time to time.

Updated Terms become effective when posted unless a later effective date is stated. Continued use of the services after the effective date constitutes acceptance of the revised Terms.

8. Marketing Emails

By creating an account, purchasing services, downloading software, subscribing to communications, or otherwise engaging with FlowDevs, you may receive marketing communications where permitted by law and consistent with your communication preferences.

Marketing communications may include:

• Product updates.
• Promotional offers.
• Feature releases.
• Educational content.
• Company news.
• Nonessential service announcements.

You may opt out of marketing emails at any time by selecting the unsubscribe link in the message or contacting FlowDevs.

Opting out of marketing emails does not prevent you from receiving essential transactional or service-related communications.

9. Transactional Emails and Service Communications

When you create an account, purchase or subscribe to a service, or otherwise use FlowDevs services, FlowDevs may send transactional and service-related communications necessary to provide, secure, administer, and support those services.

These communications may include:

• Billing confirmations and invoices.
• Subscription renewal or cancellation notices.
• Security alerts and account notifications.
• Software updates and system messages.
• Service announcements and operational notices.
• Support and project communications.

You may not be able to opt out of essential service-related communications while maintaining an active account, subscription, project, or service relationship.

10. SMS Customer Support Terms

10.1 Program Description

FlowDevs LLC provides one-to-one SMS customer support conversations between individual FlowDevs employees and customers, prospective customers, vendors, or business partners who request or agree to communicate by text.

Messages may include:

• Customer-support responses.
• Troubleshooting questions.
• Scheduling and appointment coordination.
• Project, account, or service updates.
• Billing or account notifications.
• Issue-resolution follow-ups and confirmations.

This SMS program is intended for conversational support and business communications. It is not used for bulk marketing, mass promotional messaging, automated alerts, or API-driven campaigns.

10.2 Consent and Opt-In

You may opt in by:

• Providing your mobile number and expressly agreeing to receive text messages.
• Asking a FlowDevs employee to text you.
• Initiating an SMS conversation with a FlowDevs business number.
• Replying START after a previous opt-out.

By opting in, you consent to receive the message types described in this section from the applicable FlowDevs number.

Consent to receive SMS messages is not a condition of purchase.

10.3 Message Frequency and Charges

Message frequency varies based on your support request, your responses, and the nature of the ongoing conversation.

Message and data rates may apply according to your mobile carrier and service plan. FlowDevs does not charge a separate fee for participating in the SMS customer-support program.

10.5 Opt-Out

Reply STOP to unsubscribe from SMS messages sent by that FlowDevs number.

After you opt out, FlowDevs may send one confirmation message. You will receive no further SMS messages from that number unless you later provide renewed consent or reply START to resume the conversation.

Because FlowDevs employees may use individually assigned business numbers, an opt-out applies to the specific number and conversation from which you sent STOP.

10.6 Carrier Disclaimer

Mobile carriers are not liable for delayed or undelivered messages.

Message delivery is subject to carrier availability, network conditions, device compatibility, and other factors outside FlowDevs’ control.

10.7 SMS Privacy

FlowDevs does not sell, rent, or share mobile phone numbers, mobile opt-in information, or SMS consent information with third parties or affiliates for their marketing or promotional purposes.

FlowDevs may disclose mobile information to service providers that help deliver SMS communications, when required by law, or when necessary to provide a service requested by the user.

Service providers may use the information only to perform services on FlowDevs’ behalf and not for their own marketing or promotional purposes.

All other data-sharing provisions exclude text-message originator opt-in data and consent. Mobile opt-in data and consent will not be shared with third parties for marketing or promotional purposes.

11. Third-Party Software Reselling

FlowDevs may resell, provision, manage, or facilitate the purchase of third-party software licenses and subscriptions.

These offerings may include Microsoft products and services, including Microsoft 365, and 1Password subscriptions.

11.1 Reseller Relationship

FlowDevs acts as a reseller, facilitator, service provider, or billing intermediary for applicable third-party software.

FlowDevs does not own, operate, or control the underlying third-party services.

Third-party products and services are provided subject to the terms, policies, availability, and technical requirements of their respective providers.

11.2 Microsoft Licensing

If you purchase or provision Microsoft products or services through FlowDevs, including Microsoft 365 subscriptions, you acknowledge and agree that:

• Your use of Microsoft products and services is governed by Microsoft’s applicable agreements and licensing terms.
• The Microsoft Services Agreement is available at https://www.microsoft.com/en-us/servicesagreement.
• You are responsible for complying with applicable Microsoft licensing requirements, use restrictions, and compliance obligations.

11.3 1Password Licensing

If you purchase or provision 1Password subscriptions through FlowDevs, you acknowledge and agree that:

• Your use of 1Password is governed by 1Password’s applicable terms and policies.
• 1Password’s Terms of Service are available at https://1password.com/legal/terms-of-service.
• You are responsible for complying with applicable licensing, security, and use requirements.

11.4 Third-Party Responsibility and Limitations

FlowDevs is not responsible for:

• Service interruptions, outages, or performance issues caused by third-party providers.
• Changes to third-party features, functionality, licensing models, or service offerings.
• Pricing changes imposed by third-party providers.
• Licensing audits, enforcement actions, or compliance investigations conducted by third-party providers.

Pricing changes imposed by third-party providers may be passed through to clients.

Continued use of the affected third-party service after a pricing change takes effect constitutes acceptance of the updated pricing where permitted by the applicable agreement and law.

Clients are responsible for ensuring that their use of third-party software complies with the applicable provider agreements.
