Welcome to FlowDevs! These Terms of Service ("Terms") govern your use of our website, services, and any purchases made through our platform, including subscriptions and one-time purchases. By accessing or using our services, you agree to these Terms.

1. Acceptance of Terms

By using our services, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy.

2. Services & Subscriptions

2.1 IT Consulting Services

Retainer & Subscription Plans

Our retainer and subscription plans provide ongoing access to design, development, or IT consulting services.

• Subscription payments are billed monthly based on the selected plan.
• Any included project work within a plan is subject to scope and timeline agreements.
• Projects outside of a subscription will be quoted separately and require payment upon completion.
• Larger projects may require an initial deposit and milestone-based payments, which will be outlined in the project agreement.

2.2 Software Downloads and Services

Subscription Plans

Our software services are available through subscription-based plans, granting users access to specific software, features, and updates.

• Plans vary based on functionality, user count, or other usage-based criteria.
• All software services require an active subscription for continued access.
• Users must comply with licensing agreements and usage restrictions as outlined in the plan details.

3. Payments & Billing

3.1 Payment Processing

Payments are processed securely via Stripe.

By providing payment details, you authorize us to charge your payment method for the agreed amount.

3.2 Subscription Renewals & Cancellations

Subscriptions automatically renew each billing cycle unless canceled before the renewal date.

Cancellations must be requested via your account dashboard or by contacting us at least 14 business days before renewal.

No refunds are provided for partial months or unused services.

3.3 Payment Terms & Auto-Charge

Invoice due dates must align with the payment terms specified in the agreement (e.g., Net 0, Net 15).

If payment is not received by the due date, our Finance team is authorized to automatically charge the client’s card on file for the outstanding balance.

All automated charges will be processed through our approved payment gateway and will comply with PCI-DSS standards.

3.4 Late Payments

Unpaid invoices beyond 14 days may result in service suspension until payment is received.

A late fee may apply for overdue invoices.

3.5 Price Changes

We reserve the right to modify pricing for our services and subscription plans at any time. Any changes to pricing will be communicated to existing subscribers at least 14 days in advance via email or through your account dashboard.

Updated pricing will take effect at the start of the next billing cycle following the notice period.

If you do not agree to the new pricing, you may cancel your subscription before the next billing cycle. Continued use of the services after the price change goes into effect constitutes acceptance of the new pricing.

4. Intellectual Property

All design, code, and assets created under our services remain the intellectual property of FlowDevs until full payment is received.

Clients receive a license to use deliverables for their intended purpose upon full payment.

5. Refunds & Termination

Due to the nature of our services, we do not offer refunds for completed work.

We reserve the right to terminate services for violations of these Terms or failure to make payments.

6. Limitation of Liability

We are not liable for any indirect, incidental, or consequential damages resulting from the use of our services.

Our maximum liability shall not exceed the amount paid by you for the services in the last 3 months.

7. Modifications to Terms

We may update these Terms at any time. Continued use of our services after updates constitutes acceptance of the revised Terms.

9. Marketing Emails

By creating an account, purchasing services, downloading software, or otherwise engaging with FlowDevs, you may receive marketing-related communications from us.

Marketing emails may include, but are not limited to:

• Product updates
• Service announcements
• Promotional offers
• Feature releases
• Educational content
• Company news

Marketing communications are separate from transactional communications and are sent in accordance with applicable laws.

You may opt out of marketing emails at any time by:

• Clicking the “unsubscribe” link included in our emails, or
• Contacting us directly

Opting out of marketing emails does not affect your ability to receive essential transactional or service-related communications.

10. Transactional Emails & Service Communications

By creating an account, purchasing a subscription, or using our services, you consent to receive transactional and service-related communications from FlowDevs.

These communications may include, but are not limited to:

• Billing confirmations and invoices
• Subscription renewals or cancellation notices
• Security alerts and account notifications
• Software updates and system messages
• Service announcements and operational notifications

Transactional communications are considered essential to the delivery and operation of your services and are not considered marketing communications. Users may not opt out of essential service-related communications while maintaining an active account or subscription.

11. Third-Party Software Reselling

FlowDevs may resell, provision, or facilitate the purchase of third-party software licenses and subscriptions as part of our services. This may include, but is not limited to, Microsoft products and services (including Microsoft 365) and 1Password subscriptions.

11.1 Reseller Relationship

FlowDevs acts solely as a reseller, facilitator, or billing intermediary for third-party software providers. We do not own, operate, or control the underlying third-party services.

All third-party software is provided subject to the terms, conditions, and policies of the respective provider.

11.2 Microsoft Licensing

If you purchase or provision Microsoft products or services through FlowDevs, including Microsoft 365 subscriptions, you acknowledge and agree that:

• Your use of Microsoft products and services is governed by Microsoft’s applicable agreements, including the Microsoft Services Agreement and any other applicable Microsoft licensing terms.

• You agree to comply with all licensing requirements, usage restrictions, and compliance obligations established by Microsoft.

11.3 1Password Licensing

If you purchase or provision 1Password subscriptions through FlowDevs, you acknowledge and agree that:

• Your use of 1Password services is governed by 1Password’s applicable terms and policies.
• 1Password’s Terms of Service are available at:

• You agree to comply with all licensing, security, and usage requirements established by 1Password.

11.4 Third-Party Responsibility & Limitations

FlowDevs is not responsible for:

• Service interruptions, outages, or performance issues related to third-party providers.
• Changes to features, functionality, licensing models, or service offerings.
• Pricing adjustments made by third-party providers.
• Licensing audits, enforcement actions, or compliance investigations conducted by third-party providers.

Any pricing changes imposed by third-party providers may be passed through to clients. Continued use of third-party software after such changes constitutes acceptance of updated pricing or terms.

Clients are responsible for ensuring that their use of third-party software complies with the applicable provider agreements.
